Consolidation

Consolidation is virtually the same as a merger. The companies merge, but the resulting entity is a new corporation. Returning to our previous example, BCT and Flying Truckman could consolidate and form a new corporation. As with mergers, the boards and shareholders must approve the consolidation by majority votes (seeFigure 29.3). The resulting corporation becomes effective when the secretary of state issues a certificate of merger or incorporation.
